However, New York lawmakers are seriously considering a proposal to ban most employee non-competes. On June 9th, 2025, the State Senate passed S4641A. That bill would prohibit most new non-compete agreements, but still permit them for ‘highly compensated individuals’ (earning $500,000 or more annually) and in connection with the sale of a business (with at least 15% ownership). The bill also extends coverage to remote workers who live or work in NY or report to a NY-based supervisor and creates a private right of action with potential liquidated damages for a violation.

What is a Non-Compete?

Broadly explained, a non-compete is a legal agreement that restricts an employee from working for a competitor or starting a competing business for a certain period after leaving a job. These agreements are designed to protect an employer’s confidential information, trade secrets, and customer relationships. They can be enforceable in New York, assuming certain criteria are met.

Non-compete agreements are currently lawful in New York. State courts will enforce the validity of non-compete provisions in employment contracts if they meet state-level legal requirements. Specifically, New York uses the common-law reasonableness test. A non-compete is lawful if it is no broader than necessary to protect the employer’s legitimate interests, reasonable in time and geography, not unduly harsh to the employee, and not injurious to the public. 

What to Know About Federal Law: In April of 2024, the Federal Trade Commission (FTC) published a proposed rule to bar non-compete agreements nationwide. However, that rule never took effect. It was blocked by a federal court and the Trump Administration has decided not to move forward with the regulation at this time.
